bazookaMODELS, either in mainstream modeling or in the acting category, must read these terms and conditions thoroughly and indicate afterwards by checking the corresponding box that they understand and accept them. If the model's portfolio is accepted online, she may be invited at a later date to bazookaMODELS' offline offices to sign a type-written copy of these terms and conditions together with acceptance of our Offer of Representation (which forms a part of these terms and conditions). In the case of those outside Gambia or Nigeria or Senegal , a print-out signed post-forwarded copy will suffice. In some cases a signed, scanned, emailed copy will be accepted.

•  Definitions of key terms

“Assignment” means any services requested by a client in connection with any form of advertising, entertainment, marketing or public relations activities that is proposed that the model undertakes.

“Client” means any third party individual, partnership, company or other organisation or entity which contracts with the company with a view to procuring the service of the model in respect of an Assignment.

“Company” means bazooka.gm, REG. NO. 2255/2006 , the parent company of www.bazookagm.com [the site] which hosts bazookaMODELS.

“Fees” mean the sums due to you from a client in respect of an Assignment .

“Model” means any model or actor who has accepted an offer of Representation from the company.

“Offer of Representation” means an offer made to a model by the company to represent the model for the Term subject to all the Terms and conditions below with a view to securing Assignments with clients.

“Online publication” means the system whereby images of the model and relevant information is placed on a secure website operated by the company for the benefit of clients, whereby clients have access to such models' images and relevant information with a view to procuring Assignments for models.

“Representation” means the representation provided by the company to the model upon acceptance of the offer of Representation and these Terms and conditions.

“Terms” mean the duration of representation as accepted by the model (which may be for one year, two years, three years or such other period as agreed between the model and the company)

•  Appointment

A. The company shall operate at all times as an online employment agency.

1. The company will, subject to the model's acceptance of its offer of Representation and these Terms and conditions, act as the model's agent and provide Representation to negotiate and conclude agreements with clients in respect of Assignments
2. The model does not appoint the company as his/her sole and exclusive agent and is free to contract, negotiate or register with any other agents
3. The model does grant the company sole authority on behalf of the model to collect and receive all gross income arising out of any Assignment (including fees) undertaken by the model during the Terms and also after the expiry of time including other associated services (such as direct marketing to clients or former clients)

3. The models obligation;

The model shall not without consent in writing of a duly authorized member of the company expose or reveal or make public any information regarding the business of the company or these terms and conditions but and should treat all such matters in strict confidence.

The model has with assumption of membership warranted that he/she is entitled to receive the Offer of Representation and that there is no existing oral or written agreement with any third party which conflicts with or is contrary to or in some way inhibits the right granted to the company.

The model shall, whenever carrying out an assignment be very punctual and do so to the best of his/her ability/skill.

The model should act at all times in a professional and courteous manner and to the best interest of the company.

The Model shall comply with all rules related to health and safety, fire prevention and general administration which may be in place at the premises of a client or at a location where Assignment is being carried out.

The model shall endeavor to inform the company about any significant changes in his/her appearance such as change in hair color or a major change in hair style, weight gain/loss, or the addition of tattoo or any other visible feature.

The company undertakes to indemnify and keep fully indemnified the company at all times from and against any actions, proceedings, claims, demands, costs [to include without prejudicing the generality of this clause, the legal costs of the company, awards or damages arising directly or indirectly as a result of any breach or non performance by the model of any of the Model's obligations, undertakings or warranties as set out within these terms and conditions.

4. Payment in respect of Assignments

Further to above, the company will collect from the client all gross income in respect of an Assignment. The gross income received will be divided between the company and the model (unless agreed otherwise between the parties) with the model's proportion hereinafter being referred to as the fees. T he company shall give the Model 50% of the contract fee for every job she undertakes with the Agency, after a 10% administrative fee has been deducted from the contract fee. The company will then send to the model payment of the fees by no later than the end of the same business day on which the gross income was received by the company, unless the money was received too late or logistics and communication failed to enable contact with the model (or if received by way of cheque made payable to the company the day on which such cheque clears) or, if not, it shall place such sum in a designated client account and will send the model payment of the fees within ten days beginning with the day the gross income was received by the company

Any Fees held by the company are held as trustee for the model and the company shall honor all of the model's rights in respect of those fees as set out in these terms.

Where an Assignment is cancelled by the client prior to its commencement, the model will be entitled to receive the full fees if cancelled within one working day of the intended start time (unless the model is rebooked for an Assignment of reasonable equivalence within 24 hours in which case you will receive half the fees), half of the fees if cancelled within two working days of the intended start time but no fees if cancelled earlier than that. In the event that an Assignment was due to last for more than three days you will receive the full fee if this Assignment is cancelled within a period equal in length (including working days only) to that of the intended Assignment

5. The company's obligations

Subject always to the performance and strict observance by the model of all the model's obligations as stated, the company shall use all of its reasonable resources and endeavour to secure Assignments suitable for the model. Again, for the avoidance of doubt, the primary vehicle the company uses to achieve this is the online publication.

The company's authority to act on the model's behalf extends only to the company's attempts to procure Assignments for the same, but the company has no authority to enter into Assignment with clients on the model's behalf without the model first having confirmed to the company his/her agreement to so enter (in which case the model has granted the company authority to enter into a contract with the client on his/her behalf), and the company has no authority to enter into any other contract with clients or third parties on your behalf which will conflict with an existing contract.

Further, in the event that the model decides to terminate the Representation at any point, giving due notice, during the Term, the model may be entitled to a refund of such proportion of the administration fee paid by the model to the company as the company in its sole discretion determines is just and equitable in the circumstances. such a refund may be contemplated only if the termination was made within the first 30days of the model joining the company. At this point no such administrative fees have been asked of any model. The service is still free, including inclusion of portfolios and albums in the company's online publication.

6. Notification to the Model

The company hereby confirms that though it is still free, the company is permitted to charge the Model for the work-finding services it provides, and the only circumstance in which the company has been set out in these terms. For the avoidance of doubt, the company is not and will not charge the model for the representation. The company confirms that the only type of work it will seek for the model will be an Assignment.

The Model is encouraged and invited to regularly visit and inspect the online publication to ensure him/her is fully aware of its features and attributes. Though the online publication is not available for the public, models and clients have access passwords to most of the database.

7. Parent/Guardian

 If a prospective model is below 18years, a parent or duly authorized guardian is required to sign these terms and conditions and offer of representation before the model is accepted or included in the company's site database. By accepting these terms and conditions, etc, below, you have given us permission to advertise and promote the under aged credentials and to seek assignments for same. You MUST state your names and title [ i.e parent or guardian] in the text box provided at the end of the first step of the online Registration process, as well as any other relevant information not provided for in the online Registration form.

8. Model's Acknowledgment

The model hereby acknowledges that he/she understands and accepts these terms and that he/she is not making (or being asked for any payment to the company in respect of the work-finding service it may provide or in respect of the Representation given to the model by the company throughout the Term as set out in its offer of Representation.
